General Conditions of Sale
Apart from particular conditions mentioned in the quote, these General Conditions of Sale apply to all sales and services carried out by the company
dYpElec. By signing this document or any other document referring to it, the customer accepts the General Conditions of Sale without reservation and
renounces to the application of his General Conditions of Purchase.
1. Order placement & payment
The request of our services mentioned in the quote shall be considered effective and processed upon receipt of a signed quote by the customer for all services amounting to €100 or more, including VAT, unless otherwise mentioned in the quote, whereby a deposit of 30% of the order amount, in addition, an advance payment may be requested during the performance of the works upon agreement by both parties. Written or verbal confirmations or reservations are not regarded as final commitments. For any professional customers, an invoice will be mandatorily provided. For individual customers, an invoice shall be provided by the service provider upon his own initiative, or upon request by the customer.
Payment is made upon receipt of the invoice or at work completion:
- either in cash
- bank or postal cheque
- or by bank transfer.
In the event of payment by bank cheque, the latter must be issued by a bank based in Metropolitan France. The cashing of the cheque is done upon receipt of the cheque. The cheque should be issued to Yaën Pujol.

For town halls and public bodies, a purchase order or service order sealed and signed by the Mayor or by his representative is required. The payment should be made by bank transfer upon receipt of the invoice (bank information attached).
Payment must be made as stated on the invoice, except under special circumstances. In the absence of a specific provision, payment shall be made at latest the thirtieth day following the date of receipt of the goods or performance of services (Art. L 144-6 of the French Code of Commerce). For any late payment, refer to the Penalties for Late Payment chapter.
We reserve the right to adjust the rate which we would consider appropriate and so, without notice. The hourly rate is the minimum which can be requested for all services other than relamping.
Travelling for any projects within a radius of 25 km around Pignan will be charged at a flat rate of €20. Distances between 25 and 49 km will be charged at €40, and a fixed price of €80 will be charged for distances between 50 and 100 km.
Labour costs are increased by :
- 50% between 8:00 pm to 08:00 am from Monday to Saturday,
- 80% on Sunday and public holidays.
For any late payment (from invoice receipt or work completion), a penalty will be applied (3% on the outstanding amount multiplied by the number of days overdue, divided by 365).The penalties are payable without the need for a reminder. Sending a registered letter is not a prerequisite for entitlement to late payment penalties.
A flat-rate compensation of €40 is payable to the creditor for collection charges in the event of late payment.

The penalties are payable without the need for a reminder. The penalty fees are applicable from the day following the date of payment indicated on the invoice or failing this, the thirty-first day following the date of receipt of the goods or the provision of services.
No discount will be granted to a purchaser in the event of early payment.
For any disputes relating to the works of the company dYpElec and the application or the interpretation of these General Conditions of Sale, the Court of Montpellier (34) shall be the only competent court.
3. Force Majeure
The company dYpElec is not responsible, in particular, in the event of fires, floods, power cuts, raw material or spare parts, as well as all-out or partial strikes of any nature impeding the orderly course of the company such as transport or postal strikes. In case of Force Majeure, the contractual obligations of the company shall cease.
On the other hand, the company reserves the right not to carry out the works or postpone the performance of its services if these conditions are not respected or in the event where proper access to the location where the works must be carried is not possible. Travel costs are still payable.
4. Retention of title
The company dYpElec expressly reserves the ownership of the goods and supplies delivered until full payment of their price in principal and interests.
The goods and supplies will remain the property of the company dYpElec until the full payment of their price, but the purchaser will become liable as soon as he receives physical delivery; the transfer of ownership carrying with it all associated risks. The purchaser, therefore, commits himself to subscribing, upon acceptance of this document, to an insurance contract guaranteeing the risks of loss, theft or destruction of the said goods and supplies.
5. Product compliance
All equipment used by dYpElec is NF certified. A product with a recognised conformity defect, reported within fifteen clear days, is replaced or refurbished, excluding any compensation for any reason whatsoever. In any case, the customer benefits from the provisions of the legal guarantee, in particular, those relating to the guarantee of hidden defects. Installation of equipment provided by the customer at his request causes the cancellation of any remedies and guarantees of the service.
6. Money-back guarantee
Apart from specific cases or legal reasons, the customer has a period of fifteen days as from the date of reception of the goods or performance of the service to report a potential problem or hidden defect affecting the installed products. The transaction and communication costs shall then be borne by him. Only the price of the replaced product(s) will be refunded. Damaged, spoiled or dirtied products by the customer shall not be accepted for return.
Refunds for the products in the cases mentioned above shall be carried out within a period equal to fifteen days or less. Refund shall either be made by crediting the customer’s bank account or by a banking or postal cheque addressed to the customer who has placed the order and to the billing address. No cash on delivery shipping will be accepted for any reason whatsoever.

9. Quotes, Invoices and Additional Work
Quotes are only indicative. Each service may entail additional costs depending on the work required (added by the client or by Yaen Pujol with the client’s prior agreement) or on regulatory and safety requirements. The invoice will list the items from the reference estimate and any additional work if applicable.
10. Operating area
